API TERMS OF USE

These API Terms of Use ("Agreement") govern your use of the application programming interface ("API") provided by Wright's Creative Services, L.L.C. DBA Fire Hydrant Manager, a Texas corporation ("API Provider").

By accessing or using the API, you agree to be bound by this Agreement. If you do not agree to this Agreement, you may not access or use the API.

API LICENSE GRANT

Subject to the terms and conditions of this Agreement, API Provider grants you a non-exclusive, non-transferable, revocable license to use the API solely for the purpose of developing and operating applications that interface with the API.

API USE

You may use the API solely for the purpose of developing and operating applications that interface with the API. You may not use the API for any other purpose without the prior written consent of API Provider.

You may not:

  • (a) copy, modify, distribute, or create derivative works of the API;
  • (b) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the API or any part thereof;
  • (c) rent, lease, or sublicense the API;
  • (d) use the API in any manner that violates any law or regulation; or
  • (e) use the API in any manner that infringes the rights of any third party.

API KEY USAGE

  1. Single Application Usage
    Users are granted a non-transferable right to use API keys solely for the purpose of accessing and utilizing the services provided by FireDash's API. Each API key is intended for use within a single application.
  2. Prohibited Sharing
    Users are strictly prohibited from sharing API keys across multiple applications or with any third party. API keys are designated for a specific application and must not be used in a manner that allows unauthorized access to FireDash's API.
  3. Security Responsibility
    Users are responsible for maintaining the security and confidentiality of their API keys. Any unauthorized use or sharing of API keys may result in the immediate suspension or termination of access to FireDash's API.
  4. Notification of Breach
    Users must promptly notify FireDash of any suspected or actual unauthorized use or disclosure of their API keys. Failure to do so may result in the user being held responsible for any consequences arising from such unauthorized use.
  5. Consequences of Violation
    Violation of this API Key Usage Clause may result in the suspension or termination of the user's access to FireDash's's API, and FireDash reserves the right to pursue legal remedies for any damages incurred as a result of such violation.
  6. Modification of Access
    FireDash reserves the right to modify or restrict access to its API, including the deactivation of API keys, in the event of suspected or confirmed violations of this clause.

By using FireDash's API and obtaining an API key, users agree to abide by the terms outlined in this API Key Usage Clause. Failure to comply may result in the termination of API access and potential legal action.

API AVAILABILITY

API Provider reserves the right to modify or discontinue the API at any time, with or without notice to you. API Provider shall not be liable to you or any third party for any modification, suspension, or discontinuance of the API.

API SUPPORT

API Provider shall have no obligation to provide support or maintenance for the API.

API OWNERSHIP

The API, and all intellectual property rights therein, are and shall remain the property of API Provider or its licensors. This Agreement does not grant you any rights in the API, except for the limited license to use the API as set forth herein.

CONFIDENTIALITY

You agree to maintain the confidentiality of all API documentation and other information provided to you by API Provider or obtained by you in connection with your use of the API.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless API Provider, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or related to your use of the API or any breach of this Agreement.

LIMITATION OF LIABILITY

IN NO EVENT SHALL API PROVIDER OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE API.

TERM AND TERMINATION

This Agreement shall remain in effect until terminated by either party. Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.

Upon termination of this Agreement, all licenses granted hereunder shall immediately terminate, and you shall immediately cease all use of the API.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state/country in which API Provider is incorporated, without giving effect to any principles of conflicts of law.

DISPUTE RESOLUTION

Any disputes arising out of or related to this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the state/country in which API Provider is incorporated. The award of the arbitrator shall be final and binding on the parties and may be entered as a judgment in any court of competent jurisdiction.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between the parties.

Modifications

API Provider may modify this Agreement from time to time, in its sole discretion. API Provider will provide notice of any material modifications by posting the modified Agreement on its website or by email. Your continued use of the API after such notice constitutes your acceptance of the modified Agreement.

WAIVER

The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver of such provision or of the right to enforce such provision in the future.

SEVERABILITY

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

By accessing or using the API, you acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms and conditions.
